Terms and conditions of sale
The terms applicable to Fideluz services and subscriptions.

Purpose
These terms and conditions of sale govern the provision, by FIDELUZ SAS ("Fideluz"), of its connected loyalty-card platform, which lets you create, distribute and run passes compatible with Apple Wallet and Google Wallet, together with related services.
Offers and orders
An order is deemed firm once a quote is accepted or an offer is subscribed to online. Any subscription implies full and unreserved acceptance of these terms.
Prices and payment
Prices are shown in euros excluding tax; applicable VAT is added where relevant. Unless stated otherwise, subscriptions are billed in advance at the chosen frequency. Any late payment may lead to suspension of the service and the application of statutory penalties.
Term and termination
The subscription is entered into for the term stated at sign-up and renews automatically, unless terminated by either party under the conditions and notice periods set out in the contract. Termination does not give rise to any refund of sums already paid for the current period.
Obligations of the parties
Fideluz undertakes to provide the service with due care and to use the means necessary to keep it available. The client undertakes to provide accurate information, to use the service in line with its purpose and with applicable regulations, and to hold the rights to the content it distributes through its passes.
Data and processing
In performing the service, Fideluz may process personal data on the client's behalf. Fideluz then acts as a data processor under the GDPR, within a dedicated data-processing agreement, and undertakes to keep the data confidential and secure.
Liability
Fideluz's liability is limited to direct, proven damage, up to the amounts actually paid over the last twelve months. Fideluz cannot be held liable for interruptions attributable to third-party platforms (Apple, Google), to networks, or to force majeure.
Governing law
These terms are governed by French law. Failing an amicable settlement, any dispute falls under the jurisdiction of the courts of the place of FIDELUZ SAS's registered office.
